Its main aim is to outline the legalities of property purchases so that both parties are aware of the binding terms.&nbsp;<\/p><p>Moreover, an SPA is crucial if one is buying an <a href=\"https:\/\/www.propertyfinder.ae\/en\/new-projects\" target=\"_blank\">off-plan property<\/a> or a property that is still under construction in <a href=\"https:\/\/www.propertyfinder.ae\/en\/area-insights\/dubai\" target=\"_blank\">Dubai<\/a>. Once you sign the SPA, the terms are set in stone and cannot be redacted under any circumstances.&nbsp;<\/p><p>The <a href=\"https:\/\/www.propertyfinder.ae\/blog\/sales-purchase-agreement-dubai\/\" target=\"_blank\">Sales and Purchase agreement<\/a> is protected under Dubai law and requires the property layout, down payment details, payment plans and cancellation terms.<\/p><ul class=\"wp-block-list\">\n<li><strong>Cancellation terms: <\/strong>These are required for both parties i.e. <em>the developer and buyer<\/em> to protect the rights of each party.&nbsp;<\/li>\n\n\n\n<li><strong>Compensation: <\/strong>This is also a requirement on an event of unfulfillment of contract terms.&nbsp;<\/li>\n<\/ul><h3 class=\"wp-block-heading\" id=\"h-why-spa-termination-occurs\">Why SPA Termination Occurs<\/h3><p>Either developer or buyer can terminate sales and purchase agreements based on four binding terms that legally decide the final cancellation. Under <em>Article 268 under Civil Transactions Law<\/em>, the terms are as follows:<\/p><ul class=\"wp-block-list\">\n<li><strong>Mutual Agreement: <\/strong>Under the mutual agreement, either or both parties are granted permission to follow through with their SPA termination.&nbsp;<\/li>\n\n\n\n<li><strong>Legally Binding: <\/strong>The process is legally binding, meaning it cannot be overridden once the termination process is successful.&nbsp;<\/li>\n<\/ul><h4 class=\"wp-block-heading\" id=\"h-external-factor-termination-nbsp\">External Factor Termination&nbsp;<\/h4><p>The termination of SPA can also take place due to external factors. Its terms are fully protected under <em>Article 273 under the Civil Transactions Law<\/em>. This involves the automatic cancellation of the contract. Its terms are listed here:&nbsp;<\/p><ul class=\"wp-block-list\">\n<li><strong>Bilateral Contracts: <\/strong>In these contracts, if a greater force arises which makes the obligation of the performance impossible, the contract automatically ends.&nbsp;<\/li>\n\n\n\n<li><strong>Partial Impossibility: <\/strong>If the possibility remains partial, the consideration for the <em>impossibility is rescinded.<\/em> This also applies to <em>provisional impossibility for continuous contracts<\/em>.&nbsp;<\/li>\n<\/ul><h4 class=\"wp-block-heading\" id=\"h-termination-agreement-beforehand-nbsp\">Termination Agreement Beforehand&nbsp;<\/h4><p>Under <em>Article 271 in the Civil Transactions Law<\/em>, the parties can agree to make a contract <em>ipso facto<\/em> without permission from the court. However:&nbsp;<\/p><ul class=\"wp-block-list\">\n<li><strong>Formal Notification: <\/strong>While the parties can rescind the contract without a court order, they are still required to <em>serve a formal notification<\/em>, unless agreed otherwise.&nbsp;<\/li>\n<\/ul><hr class=\"wp-block-separator has-alpha-channel-opacity\"><div class=\"wp-block-create-block-pf-shortcodes\"><script>\n still fails to comply, the DLD may approve the termination and allow the developer to <strong>retain up to 30% of the purchase price for projects below 60% completion<\/strong>, or <strong>up to 40%
